About MS OFFICE XP Standard, Old Version (Upgrade)

I ordered and paid for this program on Saturday May 24. 2008.

What does UPGRADE MEAN? Can I load the subject program on my hard drive without an earlier version MS Office being on my HDD? I have MS OFFICE 97 on my HDD. Is that too old to qualify?
